Win Win Women Show Host Agreement: 

This Agreement is between the WIN Global Networks, Inc. (WGN and Win Win Women) and Show Hosts in the Win Win Women international community and multi-media global women’s network. This Agreement explains both the responsibilities of Win Win Women and the responsibilities of Win Win Women Show Hosts.

Win Win Women will do the following for you, as a Win Win Women Show Host:

• We present you as an expert in your industry. You will enjoy significant visibility as a Win Win Women Show Host. You will be part of an international, dynamic women’s network where opportunities to build your international impact, speaking portfolio, business, and personal connections are almost unlimited.
• We give you access to all Modules and Trainings in the Win Win Women Speaker and Business Development School, and all other Win Win Women Trainings, including Technology, Presenter, and Event Trainings.
• We provide for you Weekly Win Win Women Show Host Support Zoom calls, so you can receive additional information and Show Host Training.
• We provide technical support for your Show when needed
• We give you the platform for your weekly Show on the WinWinWomen.tv website when/if your Show qualifies.
• We give you the opportunity to have your Show on these television platforms: Roku, Amazon Fire TV, and Apple TV when/if your Show qualifies. 
• All Show Hosts will be able to host/produce/speak at Win Win Women Events, using our proven and highly successful Win Win Women Event Template. (Using this template, Founder Paula Fellingham has co-presented, for over 30 years, 400+ events in 152 nations.). 
• At events where you speak, at our Win Win Women Events or our non-profit events,  you may sell your own products and services and keep 100% of the sales. You are responsible for your own costs for/to these events (travel, etc.)
• You will receive 70% gross income from the sale of your products/services purchased by WWW users (or Win Win participants of any kind) in the Win Win Store, and on your website.
• As a WWW Affiliate, you will receive a 10% referral fee for all women you refer who become new Show Hosts. You will not receive a commission on annual renewal fees. This is a simple referral fee; there are no “levels” of payment.
• Your products and services can be sold in the Win Win Store, and, when/if qualified at Win Win Events or/and non-profit events. 
• As a Win Win Women Show Host, you will be seen on the Win Win Women website, on the WWW Facebook page and on other Win Win Women-related social media pages.
• You will benefit from Win Win Women Social Media Campaigns. We will promote our Show Hosts on the website, on our app, through email, and on other Win Win Women-related platforms.
• Both WIN Global Networks, Inc./Win Win Women and all Show Hosts agree to hold all WIN Global Networks (WGN) personnel and/or their family members, or anyone associated with WGN harmless from any litigation. You (Show Host) agree to never speak or write anything negative about any WGN entity or personnel, or participants. If there are disputes, WGN and you agree to abide by the decision of a third-party mediator in Utah, headquarters of WGN. Each party will pay their own costs for the mediator/ process and any other costs, including travel, to participate in the mediation process.

Win Win Women Show Hosts will do the following…

• You will register and pay the required fee. The fee will allow you to receive all the many opportunities, benefits, and excellent training listed above. There will be NO REFUNDS of the Show Host fee because of the training, courses, videos, and resources that all Show Hosts receive immediately after becoming Show Hosts.
• You will present excellent, interesting, and informative Shows and speaking presentations. It is your responsibility to be sure your Show episodes are presented on time, with excellence.
• If you must miss an episode because of travel or because of an emergency, you must have a Show Host substitute, or another expert (who has been trained by you re: WWW protocols) lined up ahead of time to present your Show. OR you can pre-record your episode(s) (as many as you wish). You will upload your pre-recorded video into your Dashboard on WinWinWomen.tv. (Details in the Show Host Training Area on the website).You receive 5 episode days off during the year for emergencies and holidays. 
• You can mention your website and your products and services for a total of 10 minutes during your one-hour time slot. You may sell twice – for 5 minutes each time – after your presentation and during the last 5 minutes of your 60 minute time slot (right before closing your Show episode).  
• You will abide by our rule: No negativity. Although we welcome vigorous discussion and enthusiastic debate, we will not tolerate men bashing, or any negative comments about anyone – or any religion or government. No negativity whatsoever is our one rule. Ours is a culture of caring – of loving kindness – of connecting and collaboration. We always seek to create WIN WINS. “Three strikes and you’re out” is our policy. If you violate our rules we will warn you twice, and then we will release you from Win Win Women. Win Win Women, at its sole discretion, reserves the right to delete Shows, and/or Show episodes, that are deemed by the WGN Board of Directors as offensive based on an agenda and/or content viewed by WGN as propaganda, or which may cause contention and/or conflict. Additionally, Win Win Women Shows, or Show episodes, may be deleted for any other reason, at her sole discretion, by Founder Dr. Paula Fellingham. 
• We invite and encourage you to share Win Win Women messages that Headquarters will provide for you, and that you create, with your database/on social media often. You are welcome (and encouraged) to share positive comments about Win Win Women any time you’d like – anywhere – on social media and during your conversations.

Show Host Payment & Cancellation Policy

If a Show Host misses a monthly payment, she has 15 days to update her card on file. After 30 days, she is forfeiting her Show Host timeslot. If 2 monthly (60 days) payments are missed in a row, she will be given a chance to pay the balance or be removed as a Show Host. 

A Show Host may pause her Show for up to 2 months per year. However,  she must continue to make the monthly payments until her year term is completed. The Show Host forfeits her Show Time during the pause, and she can restart after the pause. 

If a Show Host decides to cancel her Show, she is still responsible for making the monthly payments up to the end of her 1 year Agreement. If she wishes to return, she may start again by signing a new one year Show Host Agreement and paying the onboarding fee and subsequent monthly payments. 

WIN Global Networks, Inc. (Win Win Women) will fulfill and abide by everything Win Win Women has agreed to in the statements and promises in this Agreement.

By participating as a Win Win Women Show Host, and by accessing the Show Host Area on the WinWinWomen.com website (where this Agreement is clearly posted), and by clicking the link “I Agree to the Terms and Conditions” (or something similar) on any Win Win Women website e.g. (WinWinWomen.com), you have agreed to this entire document, and you have effectively signed this document, even if you did not sign it above.

TERMS OF USE AND PARTICIPATION AGREEMENT

Welcome! By using our website, and/or participating in any way with WIN WIN Women, and/or with any WIN WIN Program or entity of WIN Global Networks, Inc., you agree to comply with, and be bound by, the following Terms of Use and Participation Agreement (Contract). Please review these terms and conditions carefully. If you do not agree to these terms and conditions, you should not use our website or participate with WIN Global Networks, Inc., including any WGN entity or program, in any way.

This Terms of Use and Participation Agreement is made by and between WIN Global Networks, Inc., a Utah Corporation, (WIN WIN Women Programs, WIN WIN Programs, and www.WinWinWomen.com and www.WinWinUniversity.com, and additional entities that are part of WIN Global Networks, Inc.) and you – the user and participant. In this document we will use the words “we” and “us”, and you, the user (“you”, “your” or “User”).

This Agreement may be modified at any time by WIN Global Networks, Inc. by posting of the modified Agreement. Any modifications will be immediately effective, upon posting. Each use by you will be considered as your unconditional acceptance of this Agreement.

You agree that by clicking “Sign Up” or “Join Now” or a similar expression, registering, accessing or using our services described below, you are agreeing to enter into a legally-binding Agreement with WIN Global Networks, Inc. (even if you are using our services on behalf of a company). If you do not agree to this Agreement (“Agreement” or “User Agreement”), do not click “Join Now” (or a similar expression) and do not access or otherwise use any of our services. If you wish to terminate this Agreement, at any time you can do so by discontinuing your association with us.

Your use of our services is also subject to our Privacy Policy, which covers how we collect, use, share, and store your personal information. You may receive our Privacy Policy upon request.

SERVICES

This Agreement applies to all WIN Global Networks, Inc. websites, programs, events, activities, and everything related to WIN Global Networks, Inc. It also includes all communications and other services that state that they are offered under this Agreement, or part of WIN Global Networks, Inc., including the offsite collection of data for our services, such as our ads. You certify that you are authorized to enter this Agreement on behalf of the individual or organization you identified when you registered and gave us your first name and email address.

If you participate with us in any way, or become a Member at any level, or a Channel Director or Show Host at any level, or a Trainer on any level, you agree that you will keep your password a secret; you will not share it with others. You agree that you will not share an account with anyone else, and you will follow our rules and the law. You agree that you will follow our rule and only give positive comments. You will not be negative. You will not speak unkindly about anyone or anything associated with any of the WIN Global Networks, Inc. programs, activities, events, etc. You will not slander or speak unkindly of any religion, government, or association of any kind on any of our platforms or as part of anything related to WIN Global Networks, Inc. Ours is a culture of loving kindness. If you do not comply with our rules, your comments will be taken down, you will be reported to the authorities in the most extreme cases, and we will litigate, in severe cases. Your words and actions reflect on our brand, and we have zero tolerance for those who damage our brand, which thwarts our mission.

PAYMENT

If you purchase any of our paid services you agree to pay us the applicable fees. Failure to pay these fees will result in the termination of your paid services. Also, you agree that:

Your purchase may be subject to foreign exchange fees or differences in prices based on location (e.g. exchange rates).

We may store and continue billing your payment method (e.g. credit card) even after it has expired, to avoid interruptions in your Services and to use to pay other services you may purchase.

If you purchase a subscription to any position within any WIN Global Networks, Inc. entity, your payment method automatically will be charged at the start of each subscription period for the fees applicable to that period. You will honor your payment obligations and you agree that we can store your payment information. All payments are in USD.

We give no refunds after three days, because we offer educational services. Once a participant hears/ watches /reads the trainings/ Shows and/or downloads the content, it cannot be “taken back”. Therefore, we do not give refunds unless you contact us within 72 hours of initial payment.

To stop payment, email ShowHostSupport@WinWinWomen.com,  and let us know, within 72 hours of your next payment, that you would like to discontinue our services. If you do not let us know within that time frame, your payment will go through and you’ll need to try again the next month (within 72 hours of your next payment). Once you’ve stopped payment, all paid services will no longer be available and your access to the paid services will be denied.

COMMUNICATING

You allow us to send notices and messages to you through our websites, apps, and contact information. You agree that we will provide notices and messages to you in the following ways: (1) within the Service, or (2) sent to the contact information you provided us (e.g., email, mobile number, physical address). You agree to keep your contact information up to date.

CONTENT OWNERSHIP AND LICENSING

You, as a content creator, own 100% of the content, feedback and personal information you provide to us, but you also grant us a non-exclusive license to it.

You, as a content creator, own the content and information that you submit or post to the services, and you are only granting us the following non-exclusive license:

A worldwide, transferable and sublicensable right to use, copy, modify, distribute, publish and process, information and content that you provide through our services and the services of others, without any further consent, notice and/or compensation to you or others. These rights are limited in the following ways:

You can end this license for specific content by deleting such content from the services, or generally by discontinuing your relationship with us, except (a) to the extent you shared it with others as part of the service and they copied, re-shared it or stored it and (b) for the reasonable time it takes to remove from backup and other systems.

We will not include your content in advertisements for the products and services of third parties to others without your separate consent (including sponsored content). However, we have the right, without payment to you or others, to serve ads near your content and information.

While we may edit and make format changes to your content (such as translating or transcribing it, modifying the size, layout or file type or removing metadata), we will not modify the meaning of your expression.

You and WIN Global Networks, Inc. agree that we may access, store, process and use any information and personal data that you provide in accordance with the terms of your choices (including settings).

You promise to only provide information and content that you have the right to share, and that your posted profile will be truthful.

You agree to only provide content or information that does not violate the law nor anyone’s rights, including intellectual property rights.

OUR OFFERINGS AND SERVICES

We may change, suspend or discontinue any of our services. We may also modify our prices, effective upon reasonable notice to the extent allowed by the law.

We do not promise to store or keep showing any information and content that you’ve posted. You agree that we have no obligation to store, maintain or provide you a copy of any content or information that you or others provide, except to the extent required by applicable law.

Other Content, Sites and Apps

Your use of others’ content and information posted on our websites and other services is at your own risk.

Others, and/or competitors of yours, may offer their own products and services through our services, and we are not responsible for those third-party activities.

By using the Services, you may encounter content or information that might be inaccurate, incomplete, delayed, misleading, offensive or otherwise harmful. You agree that we are not responsible for such content or information. We cannot always prevent the misuse of our services, and you agree that we are not responsible for any such misuse. You also acknowledge the risk that you and/or your organization may be mistakenly associated with such content.

If you are offering products or services, you represent and warrant that you have all the required licenses and will provide services consistent with our mission.

Limits

We have the right to limit how you connect and interact with us on our websites, at our events, and anywhere any WIN Global Networks, Inc. has virtual or live activities. We reserve the right to limit your use of our services, including your efforts to contact others who are associated with WIN Global Networks, Inc. in any way. Members. We reserve the right to restrict, suspend, or terminate your account if you breach this Agreement or the law or are misusing our services in any way that is objectionable to us.

WIN Global Networks, Inc. neither endorses nor assumes any liability for any material uploaded or submitted by users on any part of any of our websites or anywhere else. Although we do not pre-screen, police or monitor comments posted on the site, we and our agents reserve the right to remove any and all postings that we feel do not comply with our mission, our brand, this Agreement, and any other rules of user conduct for our site, or are otherwise harmful, objectionable, or inaccurate. We are not responsible for any failure or delay in removing such postings.

Intellectual Property Rights

Founder Paula Fellingham and WIN Global Networks, Inc. reserve all of their intellectual property rights in our services. Trademarks and logos used in connection with the services are the trademarks of their respective owners. Those who infringe upon these rights will be held accountable for their illegal actions.

Disclaimer and Limit of Liability

No Warranty

This is our disclaimer of legal liability for the quality, safety, or reliability of our Services.

WIN Global Networks, Inc. and our affiliates make no representation or warranty about our services, including any representation that the services will be uninterrupted or error-free, and we provide our services, content, and all information on an “as is” and “as available” basis.

To the fullest extent permitted under applicable law, we and our affiliates disclaim any implied or statutory warranty, including any implied warranty of title, accuracy of data, non-infringement, merchantability or fitness for a particular purpose.

Exclusion of Liability

WIN Global Networks, Inc. and our affiliates will not be liable in connection with this Agreement, for lost profits or lost business opportunities, damaged reputation, loss of data (e.g. down time or loss, use of or changes to your information or content), or any indirect, incidental, consequential, special or punitive damages.

WIN Global Networks, Inc. and its affiliates will not be liable to you in connection with this Agreement for any amount that exceeds the total fees paid or payable by you to us, for any of our services.

Termination

Both you and WIN Global Networks, Inc. may terminate this Agreement at any time with written notice to the other. On termination, you lose the right to access or use the services, or to be associated in any way with WIN Global Networks, Inc or any of its affiliates or programs. The following shall survive termination:

Our right to use your content, that you shared with us, before the time of termination. Any amounts owed by either party prior to termination remain owed after termination.

Governing Law and Dispute Resolution

You, and any organization you represent, specifically agree to indemnify, defend and hold WIN Global Networks, Inc., WIN WIN Women, WIN WIN University, and all its affiliates and their respective officers, directors, employees and agents harmless from and against all third-party claims, losses, liabilities, damages, expenses and costs, including attorney’s fees and court costs, arising out of your or your organization’s (i) use of the website, app, or any services, (ii) negligence or willful misconduct, and/or (iii) material breach of any of the terms of this Agreement. In other words, and to be very clear: You agree to hold harmless (not litigate) WIN Global Networks, Inc. and any WIN Global Networks, Inc. program or affiliate, including Founder Paula Fellingham and/or her family, and all company personnel, including their families. In the unlikely event we cannot come to a consensus, you agree to resolve the dispute in the courts of Utah, using a third-party Mediator. You agree to pay all legal fees in the case of a dispute.

This section shall not deprive you of any mandatory consumer protections under the law of the country to which we direct services to you, where you have your habitual residence.

General Terms

This Agreement (including additional terms that may be provided by us when you engage with our services) is the only agreement between us regarding the services and supersedes all prior agreements for the services.

Code of Ethics

You will follow the highest standards of honesty, professionalism, and integrity while operating under the Agreement.

You will not engage in activities that may cause losses or a damaged reputation to WIN Global Networks, Inc. or any of our programs or affiliates.

Income Taxes

If applicable to your position with WIN Global Networks, Inc., you are responsible for complying with the tax laws in the jurisdiction where you reside. In the United States, you are responsible for paying all local, state, and federal income taxes on any earnings generated. If you do not submit a valid Social Security Number (SSN), Federal Tax Identification Number (TIN), Employer Identification Number (EIN), or Individual Taxpayer Identification Number (ITIN), We, as required by law, will withhold the legally required income tax from your affiliate commissions for backup withholdings until you provide us with one. Any fines or penalties incurred by WIN Global Networks, Inc., because of an incorrect SSN, TIN, or name will be your responsibility, and you agree to reimburse WIN Global Networks, Inc. for these costs.

Every year WIN Global Networks, Inc. will provide an IRS Form 1099 MISC (Non-Employee Financial reward) earnings statement to you if you are a U.S. resident who has earnings over $600 in the previous calendar year or reside in another country and earned over the total amount by law for your country and will receive the appropriate tax form. Changes to a SSN, TIN, EIN, or ITIN must be received via a completed W-9 form. The name and TIN on an Affiliate’s account must match IRS records. These forms must match the signature of the owner on the account. For tax reporting purposes, changes to these numbers will result in issuance of an additional 1099 in the same tax year. No previous 1099s may be reissued under the new SSN or TIN. Earnings made before the change will be reported on the original TIN. Earnings after any change will be recorded on the new TIN. When a business organization is owned by two or more individuals, taxes will be reported on the primary participant’s tax number.

Canadian participant: By the end of February, WIN Global Networks, Inc. will send a T4A form for the previous year. As stated by the Canadian Department of Revenue, T4A forms will be sent to all of our Canadian participants who earn $500 or more. All Other Countries: WIN Global Networks, Inc. will issue the appropriate form for your country and follow any and all laws governed by earnings within WIN Global Networks, Inc. You are responsible for paying local, state and federal taxes on income generated as a WIN Global Networks, Inc. participant.

International 

Compliance with foreign laws regarding intellectual property, data privacy and protection, customs, taxation, literature content, and other selling guidelines is critical to successful international expansion of WIN Global Networks, Inc. into new markets. Because of the severe possible consequences, we may terminate its Agreement with those who engage in unauthorized activities such as to register product, trade names, trademarks, patents, web domains, or IP addresses in any country for or on behalf of any WIN Global Networks, Inc. entity. You agree to any tax withholdings that may be required for your country, whatever nation that may be. If WIN Global Networks, Inc. authorizes you to sell products to customers in another territory or country, there may be additional terms and/or another set of Affiliate Policies and Procedures to which you agree to be bound. You agree to follow all laws in any country in which you participate with WIN Global Networks, Inc. entities, including, but not limited to, all selling laws, all solicitation laws, all advertising laws, all claims laws, all tax laws, and any other laws that apply to operating a business organization in a foreign country

Confidentiality

As a participant in any of our WIN Global Networks, Inc., programs, websites, or activities, you may be supplied with information that is of a confidential or proprietary nature such as genealogical and organization reports, customer lists, information developed by WIN Global Networks, Inc. or others, and/or information developed for and on behalf of WIN Global Networks, Inc. by any person or organization or affiliate. This could also include, but is not limited to, email lists, user lists, manufacturer and supplier information, business reports, commission or sales reports, marketing strategies and plans, product and service information, promotional information, and other financial and business information (“confidential information”). WIN Global Networks, Inc. does not guarantee that the confidential information is complete, accurate, of satisfactory quality or fit for any purpose and you agree to accept WIN Global Networks, Inc.’s confidential information “as is”. In disclosing the confidential information, WIN Global Networks, Inc. does not undertake to provide any additional information to update or correct any inaccuracies in the confidential information. All confidential information (whether in written, oral, or electronic form) is transmitted to you in strictest confidence on a need-to-know basis for use solely in your business organization for WIN Global Networks, Inc. business purposes only. In certain instances (for example, with respect to promotional information supplied to high-ranking personnel, leaders, or users in advance of the applicable promotions), you may not share such information within your business organization until the promotion is disclosed to everyone by WIN Global Networks, Inc. You will keep such information confidential, adopt reasonable security practices to safeguard the confidentiality of the information, and you must not disclose any such information to a third party directly or indirectly unless such disclosure is required by law or authorized in writing by WIN Global Networks, Inc.. You agree not to decompile, disassemble, or reverse engineer all or any part of any confidential information you receive. You must not use or disclose the information to compete with WIN Global Networks, Inc. or for any purpose other than for promoting WIN Global Networks, Inc.’s program and its products and services. You may use and disclose the confidential information only in strict accordance with the conditions and restrictions that WIN Global Networks, Inc. may require from time to time.

Authorization to Transfer and Disclose Personal Information

To provide support for you, personally, or for your business organization, you consent to the terms of the WIN Global Networks, Inc. Privacy Policy and authorize WIN Global Networks, Inc. to disclose personal and/or confidential information provided to WIN Global Networks, Inc. in connection with you, personally, or your business organization or that you have developed as a result of your activities as a participant with us. You authorize WIN Global Networks, Inc. to transfer and disclose this information to its affiliate companies, and/or to their sponsors and/or advertisers, and/or to applicable government agencies or regulatory bodies if required by law. You authorize WIN Global Networks, Inc. and its entities and affiliates to use your contact information as needed. You also authorize WIN Global Networks, Inc. to share this information with companies we do business with who offer products or services we believe may be of interest to you and your customers. You may opt out of this sharing by contacting Support@WinWinWomen.com. You further authorize WIN Global Networks, Inc. to use your personal information for Company recognition and marketing materials.

Authorization to Take and Use Your Photo or Video

By participating in the WIN Global Networks, Inc. programs of any kind, you consent to having your image captured in photographs or videos at various WIN Global Networks, Inc. sponsored events by WIN Global Networks, Inc. staff both online and in person and to have those images used by WIN Global Networks, Inc. as it sees fit in advertising and marketing materials. You grant WIN Global Networks, Inc. a non-transferable, non-sublicensable, non-exclusive right and license to use your likeness in a photograph, and to edit, alter, copy, use, reproduce, publish, or distribute your image and/or physical likeness (“Likeness”), in whole or in part, and on a perpetual and worldwide basis. Because you acknowledge that your participation with WIN Global Networks, Inc. is voluntary, you agree you will not receive royalties or other financial reward arising out of the use of your likeness. You further waive the right to inspect or approve the finished product, including written or electronic copy, in which your Likeness appears. If you have a religious or moral objection to having your picture taken or appearing in a video, it is your responsibility to notify a Staff Member of WIN Global Networks, Inc.’s staff at the event where photographs and videos are being taken. The provisions of this section will permanently survive the term of the Agreement.

Non-Exclusivity

WIN Global Networks, Inc. does not grant you or any affiliate or customer, individually or as a group, an exclusive right to any part of WIN Global Networks, Inc., e.g. our sales methods or any Channel or topic or any part of WIN Global Networks, Inc.’s products or services. WIN Global Networks, Inc. reserves the right to offer its products and services through any sales channel and territory, including, but not limited to, through its digital commerce website, and other programs and companies.

Non-Disparagement

You agree to not disparage, slander, or defame WIN Global Networks, Inc., entities and/or participants, WIN Global Networks, Inc. employees, or WIN Global Networks, Inc. Founders. You, however, may give honest reviews of WIN Global Networks, Inc. products and services, including negative reviews, either verbally or in writing without violating this clause so long as the reviews are accurate, honest, and not misleading. Reviews of WIN Global Networks, Inc. products or services by WIN Global Networks, Inc. participants must also not be libelous, harassing, abusive, obscene, vulgar, sexually explicit, or inappropriate with respect to race, gender, ethnicity, or other intrinsic characteristics. Violations of this section will constitute a material breach of this Agreement and may result in WIN Global Networks, Inc. terminating its Agreement with the breaching participant, and following up with possible litigation.

Use of WIN Global Networks, Inc. Content and Materials

To prevent inadvertent errors or illegal claims, you agree to use the current WIN Global Networks, Inc. marketing materials, literature, and official claims and text when advertising and describing WIN Global Networks, Inc.’s products or programs. The materials should be used in context so as not to be misleading.

Affiliate-Developed Advertising Materials and Products

If you choose to produce or use advertising materials that were not developed by WIN Global Networks, Inc., you must clearly identify that the material is from an “Independent Affiliate” and not WIN Global Networks, Inc. and explicitly state that the materials have not been approved or endorsed by WIN Global Networks, Inc. You are not permitted to use WIN Global Networks, Inc. corporate letterhead or any other representation that you are an employee of WIN Global Networks, Inc. Any use of advertising materials not produced by WIN Global Networks, Inc. must be compliant with all applicable laws and the Affiliate Policies and Procedures. Such material must be produced in a professional and tasteful manner to protect the WIN Global Networks, Inc. brand. Material must not be used that reflects poorly upon WIN Global Networks, Inc. You agree that WIN Global Networks, Inc. may request the removal or discontinuation of use of Affiliate-developed advertising materials and you agree to promptly comply with all such requests.

Claims

To ensure compliance with federal and state laws and regulations, all participants are prohibited from making inaccurate and impermissible claims about any WIN Global Networks, Inc. products or services. You agree to never make any statements and claims that are false or misleading concerning WIN Global Networks, Inc. or our products and services.

Federal law prohibits individuals engaged in affiliate marketing from making any false, misleading, or potentially misleading claims regarding earnings, income, or lifestyles. You are prohibited from making improper income claims, which includes any testimonial, statement, or other representation, whether written or oral, in connection with income received from WIN Global Networks, Inc.

Unlawful and/or False Statements

You are fully responsible for all verbal and written statements you make regarding WIN Global Networks, Inc. products, services, and your earnings that are not expressly contained in official WIN Global Networks, Inc. materials. You agree to indemnify WIN Global Networks, Inc. and WIN Global Networks, Inc.’s directors, officers, affiliates, shareholders, managers, employees, and agents, and hold them harmless from any and all liability, including judgments, civil penalties, refunds, attorneys’ fees, court costs, or lost business incurred by WIN Global Networks, Inc. from any liability arising from or related to your actions in the promotion and operation of us (WGN) or your business organization, or you as an individual. This provision will survive the termination of the Agreement.

Trademarks and Copyrights

The name WIN Global Networks, Inc. (WGN), WIN WIN, WIN WIN Women, WIN WIN University, WIN WIN Store, and all other WIN WIN related names or any names or slogans or phrases that may be adopted by WIN Global Networks, Inc. or its subsidiary or affiliate companies or used by those entities as trade names, product brand names, trademarks, logos, slogans, hashtags, web addresses, or URLs are herein referred to as “WIN Global Networks, Inc. trademarks” and are owned by the Founder, Paula Fellingham. During the term of your WIN Global Networks, Inc. participation, and only during that term, you are authorized to (a) copy and use the photographs made readily accessible on WIN Global Networks, Inc.’s Affiliate page (or other future-used websites or services), the text of product and service descriptions provided by WIN Global Networks, Inc., and the videos posted to WIN Global Networks, Inc.’s online video sites (e.g., WIN Global Networks, Inc.’s Zoom, Vimeo, and YouTube pages) and (b) use, except as prohibited herein, WIN Global Networks, Inc.’s trademarks (excluding WIN Global Networks, Inc.’s company logos, including any logo with WIN WIN in it) solely in connection with the development of online and printed materials for use in building and managing your business.

You may not, however, use these copyrighted materials or the WIN Global Networks, Inc. trademarks in connection with any activity outside the scope of your

Agreement without WIN Global Networks, Inc.’s written authorization, nor may you sell materials containing these properties (e.g., marketing materials, including physical or electronic), swag, software or mobile apps, branded merchandise, books, brochures, movies, or other products that you sell to others, directly or indirectly, without WGN’s written permission. Upon termination of the Agreement, this license will automatically terminate, and you must immediately cease all use of WIN Global Networks, Inc. trademarks, text, photographs, and video, and everything related to the WGN Company. You are prohibited from applying for, owning, or registering any WIN Global Networks, Inc. or WIN WIN-related trademark, in whole or in part, or any confusingly similar mark as a trademark in any jurisdiction in the world. In the event you do so or have done so, you hereby agree to assign, at no cost, the trademark registration or application to WIN Global Networks, Inc. within 10 days of WIN Global Networks, Inc.’s written request. You are prohibited from using any WIN Global Networks, Inc. trademark (or confusingly similar terms) in connection with any online paid marketing program or effort, including pay-per-click online advertising, Google AdWords, paid social ads, video content, content syndication, and display marketing.

Domain Names and Email Addresses

You may not use, register, or own any internet domain name, either in the U.S. or abroad, that includes any WIN Global Networks, Inc. trademarks or anything WIN WIN related, or any derivative thereof. Nor may you incorporate or attempt to incorporate any WIN Global Networks, Inc. trademarks or any derivative thereof into any email address. In accordance with this policy, all existing domain names that violate this provision will be expected to be brought into conformance within three months of notification of a violation by WIN Global Networks, Inc. In limited circumstances, an infringing domain name or email address registration may be allowed to exist upon the signing of an annual trademark license agreement with WIN Global Networks, Inc., which will also carry a license fee. Such license agreements may be offered by WIN Global Networks, Inc. at any time, and those Affiliates with nonconforming domain name registrations who do not make such an agreement with WIN Global Networks, Inc. will be expected to transfer those registrations to WIN Global Networks, Inc. within the three-month time period noted above.

Internet Issues

Many WGN participants will use the Internet to promote their businesses using websites, blogs, and social media. To ensure compliance with federal and state laws and regulations, any website or online application used to promote WIN Global Networks, Inc., WIN Global Networks, Inc. products and services, or any activity that is WIN WIN related must display a current WIN WIN Women, or WIN WIN University logo in a prominent location so that visitors to the sites are not given the impression that it is an official WIN Global Networks, Inc. (WIN WIN Women or WIN WIN University) site. To ensure compliance with federal and state laws and regulations, any use of the Internet to promote a participant’s business may include current product descriptions, photographs, videos, and other media made available to participants by WIN Global Networks, Inc. (e.g., through the official WIN Global Networks, Inc. websites). However, these sites may not (a) make any improper product, service, or income claims; (b) contain false or misleading information; (c) collect, store, process, or transmit other participants’/customers’ confidential information; (d) use old or outdated product descriptions, photographs, videos, and other media, or (e) have the appearance that it is operated by WIN Global Networks, Inc./ WIN WIN Women/ WIN WIN University or any third party (meaning anyone other than that participant). When using social media, participants may not use as their username, account name, or other identifier (collectively “username”) any of WIN Global Networks, Inc.’s trade names, company names, or any other name that may be confused with WIN WIN Women/WIN WIN anything/ WIN Global Networks, Inc. or suggest WIN Global Networks, Inc.’s sponsorship thereof. Any marketing, sites, etc. must be operated by the participant in his or her legal name or registered fictitious name, conspicuously state such name, mailing address, telephone number, and email address.

Communication Issues – Phone and Email

To ensure compliance with state and federal laws and regulations and to protect the integrity and image of WIN Global Networks, Inc.’s brand, any email messages distributed to solicit for your business must conform to the CANSPAM Act and contain appropriate opt-out provisions for the recipient. Failure to opt respondents out of your email may subject you to legal action and WIN Global Networks, Inc. may terminate its Agreement with the violating participant. For the same reasons as stated above, participants may not engage in telemarketing to promote WIN Global Networks, Inc. products or the WIN Global Networks, Inc. opportunity or to solicit potential participants. For purposes of this section, telemarketing refers to placing one or more outbound telephone calls or texts, directly or through a third party, to an individual without that individual’s express prior permission or invitation to call. You agree that you will indemnify WIN Global Networks, Inc. and WIN Global Networks, Inc.’s directors, officers, Affiliates, shareholders, managers, employees, and agents and hold them harmless from any and all liability, including judgments, civil penalties, refunds, attorneys’ fees, court costs, or lost business incurred by WIN Global Networks, Inc. as a result of your telemarketing activities. This provision will survive the termination of the Agreement.

Selling WIN WIN/WIN Global Networks, Inc. Products/Services in Stores, Trade Shows, Expositions

Subject to the provisions stated above, you may display WIN Global Networks, Inc. products and/ or services in commercial outlets, trade shows, and expositions with WIN Global Networks, Inc.’s written approval.

Media Inquiries

You are not authorized to respond to media inquiries regarding WIN Global Networks, Inc., its products or services, or your business organization. All inquiries by any type of media must be immediately referred to the WIN Global Networks, Inc. Executive Team. Refer all media inquiries to Media@WinWinWomen.com. This will ensure that accurate and consistent information reaches the general public and all federal and state laws and regulations are complied with.

Affiliate Payments

You agree that WIN Global Networks, Inc. may make adjustments to your affiliate payment to account for any processing fees, unpaid balances, or debts owed for other services. When a membership or affiliate commission is refunded to a WGN participant (any type of participant), the commissions attributable to the returned or repurchased product(s) will be deducted from any future commission checks. Any other debt may also be offset against commission checks. In addition, if you fail to properly provide your Social Security Number or Federal Tax Identification Number to WIN Global Networks, Inc., we will deduct the necessary backup withholdings from your commission checks as required by law.

Commission and Commission Errors

WIN Global Networks, Inc. attempts to ensue that checks are sent to the correct address when not using direct deposit (the address on record with WIN Global Networks, Inc.). If, after 90 days from its issue, a check is not cashed, it will be voided. You should review your affiliate commission statements and report any errors or discrepancies to WIN Global Networks, Inc. within 45 days from the date on the check. Errors or discrepancies that are not brought to WIN Global Networks, Inc.’s attention within 45 days will be deemed waived.

Check Re-Issuing

There is a $10 service charge for reissuing a check. This charge will be deducted from the balance owed to the participant.

Payment Methods

WIN Global Networks, Inc. accepts the following payment methods: credit cards, debit cards, and prepaid cards—VISA and Mastercard. Using someone else’s credit card without their written permission is illegal and may be grounds for termination of your relationship with WGN.

Cancellation

You may receive a full refund within 3 days (72 hours) of purchase of any WGN membership, product or service. All benefits and agreements will be null and void as of the date of cancellation within that 3 day time frame.

To cancel a membership, product, or service, email WIN Global Networks, Inc. at Support@WinWinWomen.com. We will send you a written acceptance of the cancellation for your documentation.

Montana, U.S. is an exception to the 3 day full refund rule. If you are a resident of the State of Montana (U.S.) and you terminate your membership or request a refund of a product or service within 15 days of the date of purchase, you may receive a 100% refund.

Modifications or Changes

You must immediately notify WIN Global Networks, Inc. of all modifications or changes to the information contained in any Agreement you have with WGN or any WGN entity. You may update your existing information by submitting a written request indicating the changes by email to Support@WinWinWomen.com, or by making such changes in the backend of the related website(s). The modifications permitted within the scope of this paragraph also include a change of tax information.

Disputes with Other Participants

If you have a grievance or complaint with another WGN participant, you should first discuss the problem with the other participant. If this does not resolve the problem, report the problem to your Channel Director. If you don’t have a Channel Director, contact WGN Corporate by emailing Support@WinWinWomen.com. The complaint should identify specific instances of alleged improper conduct and, to the extent possible, identify the relevant dates on which the event(s) complained of took place, the location(s) where they occurred, and all persons who have firsthand knowledge of the improper conduct. Upon receipt of a written complaint, the WIN Global Networks, Inc. Team will investigate the matter, review the applicable policies, and render a decision on how the dispute will be resolved.

Mediation

Prior to instituting an arbitration with WIN Global Networks, Inc., you and WIN Global Networks, Inc. (collectively referred to as “parties”) will meet in good faith and attempt to resolve any dispute arising from or relating to the Agreement through nonbinding mediation. One individual who is mutually acceptable to the parties will be appointed as mediator. The mediation will occur within 60 days from the date on which the mediator is appointed. The mediator’s fees and costs, as well as the costs of holding and conducting the mediation, will be divided equally between the parties. Each party will pay its portion of the anticipated shared fees and costs at least 10 days in advance of the mediation. Each party will pay its own attorney’s fees, costs, and individual expenses associated with conducting and attending the mediation, except when otherwise provided by statute. The mediation, and any materials, briefs, statements, documents, or information exchanged at or in anticipation of the mediation, will be kept confidential and will not be admissible for any purpose in any legal proceeding. Mediation will be held in Salt Lake City, Utah, and last no more than two business days.

Arbitration

If mediation is unsuccessful, any controversy or claim arising out of or relating to the Agreement, or the breach thereof, will be settled by arbitration. The parties agree that to promote the fullest extent reasonably possible a mutually amicable resolution of the dispute in a timely, efficient, and cost-effective manner. The Parties waive their respective rights to a bench or jury trial and agree to settle their disputes by submitting the controversy to binding arbitration. The arbitrator(s) has the authority to determine jurisdiction and arbitrability issues as a preliminary matter, except the arbitrator(s) will not have the authority to determine whether the arbitration can proceed on behalf of or against a class. The following will apply to all arbitration actions:

All arbitration proceedings will be held in Salt Lake City, Utah, United States. The arbitration agreement and the arbitration will be governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq. To the extent that there is a conflict between the Federal Arbitration Act and Utah law, the Federal Arbitration Act prevails. The arbitration will be conducted in English. The parties agree that time is of the essence. The Federal Rules of Evidence will apply in all cases .The parties will be entitled to bring motions under Rules 12 and/or 56 of the Federal Rules of Civil Procedure. The parties will be allotted equal time to present their respective cases, including cross-examinations.

The arbitrator(s) have no authority to award punitive damages with respect to any dispute resolved by arbitration, except when an applicable statute or other law requires punitive damages.

Each party to the arbitration will be responsible for its own costs and expenses of arbitration, including legal and filing fees, except where an applicable statute or other law provides for recovery of legal fees and costs. The decision of the arbitrator will be final and binding on the parties and may, if necessary, be reduced to a judgment in any court of competent jurisdiction. The parties agree and understand that maintaining confidentiality of disputes and dispute resolution is of the utmost importance. The parties and the arbitrator(s) will maintain the confidentiality of the entire arbitration process and will not disclose to any person not directly involved in the arbitration process:

The substance of, or basis for, the controversy, dispute, or claim; the content of any testimony or other evidence presented at an arbitration hearing or obtained through discovery in arbitration; the terms or amount of any arbitration award; the rulings of the arbitrator(s) on the procedural and/or substantive issues involved in the case

For controversies and claims in which the amount in controversy is less than $1 million, the following procedures will apply:

The arbitration will occur within 180 days from the date on which the arbitrator is appointed and will last no more than five business days. The arbitrator(s) will institute discovery consistent with the goals of arbitration, Discovery and disclosure of information will be conducted under Utah laws to achieve the usual goals of arbitration, including cost effective and efficient resolution of disputes between parties, but in no event will the parties be entitled to discovery rights greater than provided by the Federal Rules of Civil Procedure.

For controversies and claims in which the amount in controversy is equal to or exceeds $1 million, the following procedures will apply:

There will be three arbitrators selected from the panel provided the State of Utah mediators.The parties will be entitled to all discovery rights permitted by the Federal Rules of Civil Procedure.The parties will be entitled to appeal any arbitration award to an appeal panel selected by the State of Utah mediators.

Agreement Breach

WIN Global Networks, Inc. may terminate any Agreement it has with a participant if he or she breaches the terms and conditions of the Agreement.

Allegations that a participant (in/of any WGN entity) has breached the terms and conditions of any Agreement he or she may have with WIN Global Networks, Inc. may cause WGN to launch an investigation to determine what conduct, if any, occurred and whether the conduct was in breach of their Agreement. If WIN Global Networks, Inc. determines that a participant breached the Agreement in any way, WIN Global Networks, Inc. may terminate the Agreement immediately. A material breach of the Agreement includes, but may not be limited to, the following conduct:

Engaging conduct that may bring disrepute in any way to WIN Global Networks, Inc. (or any of its entities, officers, agents, or employees).Violation of any federal or state laws or regulations.Filing or inducing another person or agency to file a lawsuit against WIN Global Networks, Inc. (because all participants signed the Hold Harmless Clause in this document).Repeated breaches of the terms and conditions of the Agreement.

If WIN Global Networks, Inc. determines that a participant breached their Agreement with WGN, WIN Global Networks, Inc. may provide the participant with 15 days to cure their breach or appeal WIN Global Networks, Inc.’s determination. WIN Global Networks, Inc. will provide written notice to the breaching participant ono how he or she can fix/cure the breach and the date by which the breaching participant must fix/cure the breach, or appeal. WIN Global Networks, Inc. may terminate the Agreement if the breaching participant fails to cure the breach within 15 days of receiving notice. WIN Global Networks, Inc.’s failure to terminate an Agreement or require participant to cure a breach of the Agreement is not a waiver of the breached provision or WIN Global Networks, Inc.’s right to institute legal proceedings.

Appealing a Breach of any WGN Agreement

In the instance that WIN Global Networks, Inc. determines that a participant is in breach of any WGN Agreement, he or she may appeal to WIN Global Networks, Inc. The appeal must be in writing and must be received by WIN Global Networks, Inc. within 15 days from the date of the notice of breach. If the appeal is not received within the 15-day period, the determination of breach and any required action to cure the breach will be final. The appeal should be submitted with all supporting documentation to Support@WinWinWomen.com. WIN Global Networks, Inc. will review and reconsider the determination of breach and notify the participant in writing of its decision.

Voluntary Termination

Participants may voluntarily terminate any and all of their Agreement(s) with WGN at any time and for any reason by providing written notice to WIN Global Networks, Inc. that includes their signature, printed name, username, address, and telephone number. Upon termination, participants release all rights to participate with, or receive any payment from, WGN.

Delays and/or Failure to Perform Obligations

WIN Global Networks, Inc. is not responsible for delays and failures in performing its obligations due to circumstances beyond its reasonable control. This includes, without limitation, acts of God, strikes, labor difficulties, riots, wars, fire, flood, death, plagues, pandemics, curtailment or interruption of a source of supply, government decrees or orders, etc.

Partial Validity

If any provision of any WGN Agreement, in their current forms or as they may be amended, is found to be invalid or unenforceable for any reason, only the invalid portion(s) of the provision will be severed. The remaining terms and conditions will remain in full force and effect and will be construed as if such invalid or unenforceable provision never comprised a part of the Agreement. The Agreement will be interpreted by WIN Global Networks, Inc. in the best furtherance of WIN Global Networks, Inc.’s business interests.

Waiver

WIN Global Networks, Inc. never forfeits its right to require compliance with all WGN Agreements or with applicable laws and regulations governing business conduct. For example, any action or inaction by WIN Global Networks, Inc. regarding any conduct that breaches their Agreements will not be deemed a waiver of any of WIN Global Networks, Inc.’s rights or acquiescence in the conduct. Failure to enforce any provision of WGN’s Agreements against any participant or customer or user does not waive WIN Global Networks, Inc.’s right to enforce that or other provisions. Only in rare circumstances will a policy be waived, and an authorized agent of WIN Global Networks, Inc. will convey such waivers in writing. The waiver will apply only to that specific case.

All WIN Global Network, Inc. Agreements

All WGN Agreements may be amended from time to time. Concerning this Agreement, no other promises, representations, guarantees, or agreements supersede this Terms of Use and Participation Agreement unless approved by the CEO of WIN Global Networks, Inc. Any Agreement that supersedes this Agreement must be approved, and deemed approved in writing, by the current WGN CEO, with signatures of both the CEO and the participant. Only an instrument in writing signed by both parties may modify this Agreement unless otherwise provided for in this Agreement. An electronic copy, such as this one, of any WGN Agreement will be treated as an original in all respects. In the case of this Agreement, by clicking “I agree to the Terms and Conditions” you have effectively signed and agreed to all terms and conditions of participation, as stated above, with any and all WIN Global Networks, Inc. entities, websites, trainings, and/or programs.
